History

The Company was formed in December 1997 under the name Przedsiębiorstwo Skyline Investment S.A., then in October 2006 it changed its name to the current one - Skyline Investment S.A.

From the beginning of its operation the Company has conducted two business activities: advisory (broadly defined business consulting) and ICT (structured cabling, communication and electric installations, IT, telecommunication systems, as well as servicing). Since 1999 the Company has run investment activity, while the ICT activity, initially moved to a subsidiary, was sold in 2009. Currently Skyline Investment S.A. is specialised in financial advisory services as well as in management and investment activity.

In 2007 reorganisation of the structure of Skyline Investment S.A. was started by creating an advisory and investment group of Skyline.

Chronology of events in development of the Skyline Group:

• April 2007 – the ICT activity is moved to the company Skyline Teleinfo S.A. being a complete subsidiary of Skyline Investment S.A.
• March 2008 – newly formed company Skyline Interim Management Sp. z o.o., which was established in order to provide interim management services and perform restructuring the enterprises joined the Skyline Group.
• July 2009 – in scope of organisational and ownership changes another entity of the Skyline Group was formed, which currently operates under the name Skyline Venture Sp. z o.o., and which provides services devoted to management of capital funds.
• December 2009 – 100% of shares of the subsidiary Skyline Teleinfo S.A. are sold.
• May 2010 – the entity, currently operating under the name Skyline Insolvency Solutions Sp. z o.o., which deals with providing advisory services for insolvent entities, or threatened with insolvency is acquired for the Skyline Group.
• August 2010 – the entity under the name Skyline Venture Spółka z ograniczoną odpowiedzialnością S.K.A. is established together with the National Capital Fund under the support agreement signed with the NCF and regarding establishment of the VC fund with the capital of PLN 30 m (of the target value of PLN 40 m), through which Skyline Investment S.A. will ultimately invest up to PLN 20 m.
• October 2010 – the company Skyline Energy Sp. z o.o., dealing with advisory services in scope of optimisation of costs and consumption of electric energy joins the Skyline Group.
• October 2010 – new entity is established - Skyline Bio Sp. z o.o. to extend advisory competences of the Group by investment services and raising funds for the projects related to renewable energy sources.

One of the most important events in the history of Skyline Investment S.A. was debut of Skyline Investment S.A. on the Warsaw Stock Exchange that took place on 18 March 2008. The same month the increase in the share capital to reach PLN 10.0 m was registered. Since the company was granted the status of a public company all the significant events which take place in the Company and in the Capital Group have been are reported through the ESPI system and been published on the website in the “Investor Relations” section.

Moreover, since 2006 Skyline has run the portal www.szukam-inwestora.com.pl to connect investors with the owners of the companies looking for capital.
